TERMS

Terms of Service

Last Updated: September 23, 2025

Welcome to Zorka Lab. These Terms of Service (“Terms”) govern your access to and use of Zorka Lab’s platform, AI agents, and related services (collectively, the “Service”). Zorka Lab (“Company,” “we,” “us,” or “our”) is an EU-registered software-as-a-service provider based in Poland. By registering for or using the Service, you (the business entity or organization you represent) agree to these Terms, which form a legally binding agreement between you and Zorka Lab. If you do not agree with any part of these Terms, do not use the Service.

These Terms are intended for business (B2B) use only. By accepting these Terms, you confirm that you are using the Service for business purposes and not as a consumer, and that you are an authorized representative of a company (or other legal entity) with the authority to bind that entity. The Service is not offered to individuals under the age of 18 or to anyone for personal or household use. Consumer protection laws do not apply to this business agreement.

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and protect your data. Our Privacy Policy (and if applicable, a Data Processing Agreement under GDPR) is hereby incorporated by reference into these Terms. You should review the Privacy Policy to understand our practices. By using the Service, you agree to the Privacy Policy as well.

We may update or modify these Terms from time to time. If we make material changes, we will notify you by posting the revised Terms on our website or through the Service, and updating the “Last Updated” date above. It is your responsibility to review any updated Terms. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

1. Account Registration and Eligibility

To access the full features of the Service, you must create an account. When registering an account, you agree to:

  • Provide accurate, current, and complete information (including your name, business email, and other required details) and keep it updated.
  • Maintain the security of your login credentials. You are responsible for all activities that occur under your account. Notify us immediately at our support contact (see Section 15) if you suspect any unauthorized use of your account or security breach.
  • Use the Service only on behalf of a company or organization for business purposes. You represent that you are 18 years of age or older, and have the legal authority to enter into these Terms on behalf of the organization you represent.
  • Not register for an account or use the Service if we have previously terminated your account or if you are barred from using the Service under applicable law.

We reserve the right, in our sole discretion, to suspend or terminate your account, or refuse any current or future use of the Service, if you violate these Terms or if we determine that any registration information is inaccurate or incomplete. You are responsible for any use of the Service via your account, including by employees or contractors you allow to access it. User licenses are not transferable and may only be used by the individual and entity that registered.

2. Description of Services

Zorka Lab Platform: Zorka Lab provides an intelligent sales-development platform powered by ontology-based AI agents. The Service automates various B2B sales tasks, including lead research and enrichment, lead qualification, personalized outreach communications, customer onboarding assistance, and support interactions. Our platform may include a web application, API access, and integrations with third-party tools (as detailed in Section 6).

License to Use: Subject to these Terms and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. This license is for the duration of your subscription term and allows your authorized users to interact with our AI agents, dashboards, and integrations as intended. All rights not expressly granted to you are reserved by Zorka Lab and our licensors. You agree not to use the Service in any manner or for any purpose other than as expressly permitted by these Terms.

Service Updates: Zorka Lab is continually improving the Service. We reserve the right to add, modify, or remove features or components of the Service at any time. We will endeavor to inform you of any major changes (for example, significant feature removals or discontinuations) via the Service or email. However, we are under no obligation to maintain any particular feature or integration. Any new features that enhance or modify the current Service (including new tools and resources) will also be subject to these Terms. You acknowledge that the form and nature of the Service may change over time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service or any part of it.

AI Agent Outputs: You understand that the Service’s AI agents may generate content, suggestions, and analyses based on the data and inputs provided. While we strive for accuracy and relevance, AI-generated outputs are not guaranteed to be correct, complete, or suited to every situation. You are responsible for reviewing and vetting any AI-generated communications (such as emails to prospects) or decisions before using them in your business. Zorka Lab does not guarantee that using the Service will achieve any specific sales results or performance metrics.

3. Plans, Fees, and Payments

Subscription Plans: Zorka Lab offers the Service on a subscription basis. We may provide multiple subscription tiers (e.g., Basic, Pro, Enterprise), which vary in features, usage limits, and support levels. The details of available plans, including pricing and included services, are published on our website or will be described in an order form or agreement with you. By selecting a plan and providing payment information, you agree to pay the subscription fees and any applicable taxes for that plan.

Billing Cycle: Subscription fees are typically billed in advance on a recurring cycle, either monthly or annually, depending on the plan you choose. Your subscription will auto-renew at the end of each billing cycle unless you cancel in accordance with these Terms. For example, if you sign up on an annual plan, at the end of the annual term, your subscription will automatically renew for another year and you will be charged the then-current fee, unless you cancel beforehand.

Payment Method: You must provide a valid payment method (such as a credit card or other accepted payment provider) and authorize us (or our third-party payment processor) to charge it for all fees due. All fees are stated and charged in the currency specified at purchase (e.g., EUR or USD) and are exclusive of any taxes (such as VAT or sales tax) unless stated otherwise. You are responsible for any taxes or duties payable on the amounts charged (except taxes on our income). If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms, and we reserve the right to suspend or terminate your access to the Service for non-payment.

Fee Changes: Our subscription fees and charges (including the price of plans or any usage-based fees) may change over time. Any price changes will not affect the current subscription term you have already paid for, but will apply upon renewal or new purchases. We will notify you in advance of any material changes in fees, allowing you to cancel if you do not agree to the new prices. If you do not cancel, the new fees will apply at the start of your next billing cycle.

Free Trials and Promotions: We may offer free trial periods or promotional discounts for certain plans. Any such trial or promotion is solely at our discretion and is subject to these Terms. We reserve the right to modify or withdraw free trial offers at any time. If you are on a free trial, you must cancel before the trial ends to avoid being charged for a subscription. Unless otherwise stated, at the end of a free trial, you will automatically be enrolled in the plan you selected at trial sign-up and charged the applicable fees. Any data you enter or configurations you make during a trial may be deleted if you do not convert to a paid plan.

Custom and Professional Services: In addition to standard subscription plans, Zorka Lab may offer add-on professional services (for example, custom AI agent setup, bespoke integrations with your systems, training, or consulting). The scope and fees for any custom services will be set forth in a separate Statement of Work (SOW) or order form, or otherwise agreed in writing. Unless otherwise agreed, these Terms apply to any custom services we provide, in addition to any specific terms in the SOW. Payment terms for custom services will be defined in the SOW or invoice (e.g., fixed fee, time-and-materials, or subscription add-on). Typically, such fees are due as agreed and are non-refundable once the work is delivered.

No Refunds: Except as required by law or expressly provided in these Terms, all payments are non-refundable. This means that if you cancel in the middle of a billing period, or if we terminate your account due to your violation of these Terms, you are not entitled to a refund for any unused period of your subscription. We do not provide pro-rata refunds for downgrades or unused services. If you believe there has been an error in billing, please contact our support team promptly and we will review the issue.

4. User Responsibilities and Acceptable Use

By using the Service, you agree to use it only for lawful business purposes and in accordance with these Terms. You are solely responsible for all activities conducted under your account and for your team’s compliance with the following obligations:

  • Compliance with Laws: You must comply with all applicable laws and regulations in connection with your use of the Service. This includes (but is not limited to) laws relating to data privacy and protection (e.g., GDPR), intellectual property, and spam or unsolicited communications. If you use the Service to send communications (such as emails) to third parties, you are responsible for ensuring that such communications are lawful (for example, complying with anti-spam laws like CAN-SPAM or EU e-privacy rules, and honoring any opt-out or unsubscribe requests).
  • Prohibited Uses: You may NOT use the Service:
    • For any illegal, harmful, fraudulent, or defamatory activity.
    • To harass, abuse, or harm others or to transmit content that is offensive, obscene, or otherwise objectionable (as determined by us).
    • To impersonate any person or entity or misrepresent your affiliation.
    • To attempt unauthorized access to any systems or data, or to breach or circumvent any security measure.
    • To upload or transmit any viruses, malware, or harmful code, or to undertake any activity that interferes with or disrupts the integrity or performance of the Service or its infrastructure.
    • In a way that infringes or misappropriates any third party’s intellectual property or other rights, or that violates anyone’s privacy or publicity rights.
    • To collect sensitive personal data via the Service, such as health information, payment card data, or any data subject to special protection regimes (unless we have explicitly agreed in writing that the Service supports such data and you have appropriate agreements with us). The Service is not designed to handle highly sensitive personal information like medical records or financial account details, and you agree not to use it for such purposes.
  • No Reverse Engineering or Misuse: You agree not to reverse engineer, decompile, or disassemble the software underlying our Service, nor attempt to derive the source code or underlying ideas or algorithms. You will not modify, adapt, or create derivative works based on the Service, and you will not remove or obscure any proprietary notices on the Service or any reports or output from the Service.
  • Proper Use of AI Outputs: Our AI agents may assist with generating messages or analyzing data. You are responsible for how you use these outputs. Do not use AI-generated content from the Service to knowingly violate any law or regulation (for example, generating and sending misleading marketing emails or unlawful content). If the Service provides recommendations (e.g., suggesting which leads to contact or what to write), you should apply human judgment and not rely on the Service as a substitute for professional advice or your own obligation to comply with laws and best practices.
  • Account Use: Only authorized users within your organization may use your account. You must not share passwords or allow multiple people to use the same login. If you have multiple team members, each should have a separate user account (if your plan allows multiple users). You are responsible for your users’ actions in the Service and ensuring they abide by these Terms.

We reserve the right to investigate and enforce violations of the above. In the event of any suspected breach of this Section 4, we may suspend your account or restrict access to the Service (in addition to any other remedies we have at law or under these Terms). Zorka Lab may also (but is not obligated to) remove or disable access to any content or data you post or use in the Service that we find to be in violation of the above prohibitions.

5. Third-Party Services and Integrations

The Service integrates with, or relies upon, certain third-party platforms and APIs to provide functionality. By using Zorka Lab, you acknowledge and agree that the Service may send or retrieve data from these third-party services on your behalf, and that your use of certain features is subject to the terms and policies of those third parties. Key third-party services integrated with Zorka Lab include:

  • OpenAI: Zorka Lab’s AI agents may use OpenAI’s language processing API to generate content (e.g., draft emails or research summaries). This means some data (such as portions of prompts or text you input) may be sent to OpenAI’s systems for processing. By using the AI features, you agree to comply with OpenAI’s acceptable use and content standards. We do not control OpenAI’s services and are not liable for their acts or omissions. (OpenAI’s terms of use and privacy policy will govern data processed by OpenAI.)
  • HubSpot: Our platform offers native integration with HubSpot CRM. You can connect your HubSpot account to allow the AI agent to access your leads/contacts and log activities in HubSpot. Your use of the HubSpot integration must comply with HubSpot’s own terms of service. We are not responsible for any issues on HubSpot’s side. If you authorize a connection to HubSpot, you permit us to access and manipulate your HubSpot data as needed to provide the Service (for example, reading contact info, creating tasks or notes, updating records, etc.).
  • Jina.ai: Zorka Lab may utilize Jina.ai’s technology (or similar AI infrastructure services) for tasks such as semantic search, data indexing, or other AI-powered functionalities under the hood. While this integration is mostly behind-the-scenes, it is nonetheless a third-party service. Use of Jina’s technology is subject to Jina.ai’s terms. We ensure that any data shared with Jina.ai is limited to what is necessary for the Service’s functionality and is handled securely.
  • BrightData: We may use BrightData (or similar third-party data providers) to collect public web data for lead research and enrichment (for example, gathering company info or social media data about prospects). BrightData operates as an external data source. By using features that involve data collection, you acknowledge that third-party data providers like BrightData might be involved and must be used lawfully. We strive to configure such services to respect web scraping laws and robots.txt rules, but ultimately you must ensure that any data collected via our Service is used in compliance with applicable law and the third-party provider’s terms.

When you enable or use a third-party integration, you authorize Zorka Lab to share relevant data (which may include personal data) with the third-party service as needed to operate the integration. We do not share more data than is necessary for the integration. However, any data that third-party services receive will be governed by their own agreements between you and those providers. We have no control over and assume no responsibility for third-party services, and we do not warrant or support (and expressly disclaim responsibility for) any third-party service’s availability, security, or functionality.

Please note that third-party providers may change or discontinue their services or APIs, which can impact our Service. Zorka Lab is not liable for interruptions or issues caused by third-party service failures or changes. If a third-party integration is discontinued (by us or by the provider), we will attempt to inform you and find alternatives, but we cannot guarantee the continuation of any third-party feature.

Finally, you agree that we may be required to accept certain flow-down terms from these providers (for example, OpenAI’s terms may require end-users to adhere to specific usage policies). By using the integrated features, you also agree to the applicable third-party terms of service (we will provide references to or copies of those terms upon request). If you do not agree or if you violate those third-party terms, we may disable the affected integration for you.

6. User Data and Privacy

Customer Data: In using the Service, you and your users may input, upload, or generate data, content, or personal information (“Customer Data”). This may include (for example) lead lists with contact details, emails or messages sent through the system, CRM records, or other business information. You retain all rights and ownership of your Customer Data. Except as expressly provided in these Terms, we do not claim ownership of any Customer Data.

Our Use of Data: You grant Zorka Lab a limited license to host, copy, process, transmit, and display your Customer Data (including personal data) as necessary to provide the Service to you. This includes, for example, processing data through our AI models, storing data on our cloud servers or databases, and transmitting it to third-party integrations as authorized by you. We will use Customer Data only for purposes of (a) providing and improving the Service, (b) preventing or addressing technical or security issues, (c) as required by law, and (d) as otherwise expressly permitted by you. We will not use your Customer Data to market to you or to share with third parties for their own purposes, except to the extent you expressly allow or as described in our Privacy Policy.

Data Security: We take data security seriously and implement commercially reasonable technical and organizational measures to protect Customer Data against unauthorized access, loss, or disclosure. However, you acknowledge that no method of storage or transmission is 100% secure, and we cannot guarantee absolute security. You are responsible for maintaining appropriate security and access controls in your own systems when using our Service (for example, safeguarding your login credentials and ensuring your devices are secure).

Data Compliance and Consents: If Customer Data includes personal data (for example, information about your leads or customers), you represent and warrant that you have lawfully collected and provided all necessary notices and obtained all necessary consents or legal bases to share that personal data with us for processing. You remain the data controller for any personal data you upload, and Zorka Lab will act as a data processor on your behalf. We will process personal data only for the purposes of providing the Service and in accordance with applicable data protection laws (including the EU General Data Protection Regulation (GDPR) to the extent it applies).

If required by law, we are willing to sign a separate Data Processing Agreement (DPA) with you to outline the details of processing of personal data, our obligations as a processor, and related matters such as cross-border data transfers. Our Privacy Policy and DPA (where applicable) provide further details on how we handle personal data, including any transfers outside of the European Economic Area. By using the Service, you acknowledge that Customer Data (including personal data) may be processed in or transferred to jurisdictions outside your own (including outside the EU), subject to appropriate safeguards (such as standard contractual clauses) as required by law.

Data Storage and Deletion: During your subscription, we will store your Customer Data in the Service. We do not intend to keep your data longer than necessary for providing the Service. Upon termination of your account, we will delete or anonymize Customer Data within a reasonable period, except to the extent we are required to retain it by law or for legitimate business purposes. We have no obligation to retain Customer Data after account termination, so you should export any important data before your account is closed. We may retain aggregated or anonymized data (which does not identify you or any individuals) for analytics and improvement purposes even after termination, as long as such retention and use are in compliance with applicable law.

Confidentiality of Data: We consider your Customer Data to be your confidential information (subject to Section 7 below) and will not disclose it to anyone except as needed to provide the Service or as required by law. Our personnel will access Customer Data only on a need-to-know basis (for example, to resolve a support issue or to monitor system health) and are bound by confidentiality obligations.

7. Confidentiality

Definition: “Confidential Information” means any non-public information that one party (the “Disclosing Party”) shares with the other (the “Receiving Party”) that is designated as confidential or that should reasonably be understood to be confidential given the nature of the information and the context of disclosure. Confidential Information of you (the customer) includes your Customer Data, business plans, customer lists, or technical information you share with us. Confidential Information of Zorka Lab includes the Service software, algorithms, pricing information, product roadmaps, and the terms of any proposals or agreements between us. Confidential Information does not include information that: (a) is or becomes publicly available without breach of this Agreement, (b) was already lawfully known to the Receiving Party without confidentiality obligations, (c) is independently developed by the Receiving Party without use of the Disclosing Party’s information, or (d) is lawfully obtained from a third party who has the right to disclose it.

Obligations: The Receiving Party will use the Disclosing Party’s Confidential Information only for the purpose of fulfilling this Agreement (providing or using the Service) and not for any other purpose. The Receiving Party will not disclose Confidential Information to any third party, except to its affiliates, employees, contractors, or advisors who need to know it for the above-stated purpose and who are bound by confidentiality obligations at least as protective as those in these Terms. The Receiving Party must protect the confidentiality of the Disclosing Party’s information with the same degree of care it uses to protect its own similar confidential information, and at least reasonable care.

If the Receiving Party is required by law or court order to disclose Confidential Information, it must (to the extent legally permitted) give prompt notice to the Disclosing Party to allow the Disclosing Party to seek a protective order or other appropriate remedy. The Receiving Party will only disclose the minimum amount of information legally required and will cooperate with any efforts by the Disclosing Party to prevent or limit disclosure.

Duration: These confidentiality obligations commence upon your acceptance of these Terms and will continue for a period of 5 years after termination of the Agreement, or indefinitely with respect to trade secrets and Customer Data that is personal data (to the extent required by law to be kept confidential).

Return or Destruction: Upon termination of the Agreement or upon the Disclosing Party’s written request, the Receiving Party will promptly return or destroy (at the Disclosing Party’s choice) all Confidential Information of the Disclosing Party that it has in its possession or control, except that the Receiving Party may retain copies as required by law or for routine computer backup and record-keeping purposes. Any retained Confidential Information remains subject to these confidentiality obligations.

Remedies: Each party acknowledges that a breach of this Section 7 (Confidentiality) may cause irreparable harm to the other for which monetary damages may be inadequate. Therefore, in the event of any actual or threatened breach of confidentiality, the non-breaching party will be entitled to seek immediate injunctive and other equitable relief, in addition to any other rights and remedies available at law or in equity.

8. Intellectual Property Rights

Zorka Lab IP: All rights, title, and interest in and to the Service (including the website, platform, software, algorithms, AI models, agent workflows, design elements, and all content provided by us) and any improvements or derivative works thereof, are and will remain the exclusive property of Zorka Lab and its licensors. The Zorka Lab name, logo, and any product or service names or slogans are trademarks of Zorka Lab. Except for the limited rights expressly granted to you in these Terms, you are not granted any license or rights to use any of our intellectual property (IP) or those of our partners. You shall not remove or alter any copyright, trademark, or proprietary notices on any materials provided through the Service.

Your Content: As between you and Zorka Lab, you retain ownership of all Customer Data and content that you provide into the Service (including communications you send through the Service). We do not claim ownership over your data. However, you grant us the rights to use your data as described in Section 6 (User Data and Privacy) solely to operate and improve the Service.

Feedback: If you choose to provide any suggestions, ideas, enhancement requests, recommendations or other feedback regarding the Service (“Feedback”), you hereby grant Zorka Lab a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate that Feedback into the Service or our business without any obligation to you. Feedback is entirely voluntary, and we are free to use it as we see fit with no compensation or attribution to you.

Third-Party IP: Our Service may allow you to use third-party content or data (for example, information retrieved from public websites via BrightData, or content generated by OpenAI). You are responsible for ensuring that your use of any third-party content complies with applicable intellectual property laws. Zorka Lab does not grant you any license or rights to any third-party trademarks or content that may be accessed through the Service. If the Service provides you with information or materials sourced from third parties, those are for your internal use only and you should not redistribute them outside your organization unless you have obtained the appropriate permissions.

No Implied Licenses: Except as expressly set forth in these Terms, nothing in this Agreement shall be construed as conferring any license or rights by implication, estoppel, or otherwise to any Zorka Lab IP or to any third-party intellectual property.

9. Disclaimer of Warranties

As-Is Service: The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, either express or implied. Zorka Lab (and our affiliates, suppliers, and partners) expressly disclaim any and all warranties and conditions of any kind, whether statutory, express, or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement. We make no guarantee that the Service will meet your requirements or expectations, or that it will achieve any particular results.

In particular, while we endeavor to provide a reliable and high-quality service, we do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free, (b) the results or outputs that may be obtained from the use of the Service (including any AI-generated content or sales outcomes) will be accurate or reliable, (c) any errors or defects in the Service will be corrected, or (d) the Service will be free from viruses or other harmful components.

No Liability for Third Parties: We make no representations or warranties regarding any third-party services or integrations (including OpenAI, HubSpot, Jina.ai, BrightData, or others). We do not guarantee the continued availability of any third-party integration and are not responsible for any data, content, or services provided by third parties. Any use of third-party services is at your own risk.

Not Professional Advice: Any information or guidance provided by the Service (for example, sales recommendations, lead scoring, or generated messages) is for general informational purposes and convenience. Zorka Lab is not a professional advisory service, and our AI agents are not a substitute for your own professional judgment or legal compliance. You should independently verify the outputs of the Service, and you bear sole responsibility for any actions or decisions you take based on the information provided by the Service.

Jurisdictional Limitations: Some jurisdictions do not allow the exclusion of certain warranties. To the extent that such laws apply to this agreement, some of the exclusions above may not apply to you. In such cases, our warranties are limited to the minimum scope and period permitted by applicable law.

10. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Zorka Lab or its directors, officers, employees, agents, partners, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages (including damages for loss of profits, revenue, goodwill, customers, data, or data use, or for business interruption or procurement of substitute services) arising out of or related to these Terms or your use of (or inability to use) the Service, regardless of the theory of liability (contract, tort, negligence, strict liability, etc.), even if we have been advised of the possibility of such damages.

Monetary Cap: To the extent permitted by law, Zorka Lab’s total cumulative liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount of fees that you have paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the liability. If no fees have been paid (for example, during a free trial), Zorka Lab’s liability shall be limited to fifty (50) Euros (or equivalent local currency).

This limitation of liability is cumulative and not per-incident. The existence of multiple claims or events will not increase the cap. You acknowledge that the fees, if any, paid by you reflect the allocation of risk set forth in these Terms and that we would not enter into this agreement without these liability limitations.

Exceptions: Nothing in these Terms excludes or limits our liability for losses or liabilities that cannot be excluded under applicable law (such as liability for death or personal injury caused by our gross negligence or willful misconduct, or for fraud). Additionally, the above limitations may not apply to you to the extent prohibited by law in your jurisdiction.

Your Responsibility: You remain responsible for any obligations to third parties arising from your use of the Service. For example, if you use the Service to send emails that violate a law and a third party sues, that is your responsibility, not ours (subject to any indemnification obligations we have agreed to).

11. Indemnification

You agree to indemnify, defend, and hold harmless Zorka Lab and its officers, directors, employees, and agents (the “Indemnified Parties”) from and against any and all third-party claims, demands, suits, or proceedings, and all related liabilities, damages, losses, fines, penalties, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your Data or Content: Any allegation that your Customer Data, or the use of your data within the Service, infringes upon or misappropriates any intellectual property rights, privacy rights, or other rights of a third party, or has caused harm to a third party.
  • Your Use of the Service: Your (or your users’) use of the Service in violation of these Terms or applicable law, including any communications or content you send or actions you take through the Service (for example, any spam, unlawful marketing, or other misuse of the Service).
  • Breach of Agreement: Your breach of any provision of these Terms, any warranty you provide herein, or any violation of applicable laws or regulations.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations). If we do assume the defense, you will cooperate with us in asserting any available defenses. You may not settle any claim that affects any Indemnified Party or imposes any obligation on an Indemnified Party without our prior written consent.

This indemnification obligation will survive any termination or expiration of your account or these Terms.

12. Term and Termination

Term: These Terms are effective as of the time you first accept them or first use the Service, and will continue in effect until terminated as provided herein. Your subscription term will be as specified when you sign up (e.g., month-to-month or annual) and will renew as described in Section 3 unless canceled.

Cancellation by You: You may cancel your subscription and terminate this Agreement at any time by providing notice to Zorka Lab (through the account settings dashboard or via written notice to our support email). For monthly plans, cancellation will typically be effective at the end of the current monthly billing period. For annual or longer-term plans, if you cancel prior to the end of the term, your access may continue until the end of the term (unless you request immediate termination), but no prorated refunds will be given for the remaining term (unless required by law or expressly promised by us). To avoid being charged for a renewal term, you must cancel before the renewal date of your subscription.

Termination or Suspension by Us: We may terminate this Agreement and your access to the Service, or suspend your account, at our discretion upon notice to you, if you breach any material provision of these Terms (including non-payment of fees) and do not cure the breach within 10 days after we provide notice of the breach (if it is curable). Some breaches may require or result in immediate termination or suspension without notice if they are incapable of cure or if we are required to do so by law or to prevent harm (for example, if we discover you are using the Service for unlawful purposes or actions that risk other users’ safety or data). We may also terminate this Agreement if you become insolvent, make an assignment for the benefit of creditors, or if bankruptcy or similar proceedings are initiated by or against you.

Additionally, Zorka Lab reserves the right to suspend or limit your access to the Service (in whole or part) with or without notice if any payment is overdue or if your use of the Service (including excessive use of resources) significantly exceeds the limits of your plan and is impacting the Service’s stability.

Effect of Termination: Upon termination of this Agreement for any reason: - Your rights to access and use the Service will immediately cease, and we may deactivate or delete your account. - You will promptly pay any outstanding amounts owed to Zorka Lab (if any). If we terminated for your breach, you are still responsible for any unpaid fees for the subscription term and we may accelerate and declare immediately due all such fees. - We will handle your Customer Data as outlined in Section 6 (generally, data will be deleted after a retention period unless required to maintain for legal reasons). It is your responsibility to export any Customer Data you need prior to termination; after termination you may no longer have access to the Service or your data within it. - Any provisions of these Terms which by their nature should survive termination (such as indemnities, liability limitations, accrued rights to payment, confidentiality obligations, and IP ownership) shall survive and remain in effect.

Discontinuation of Service: Separately from termination of individual accounts, Zorka Lab reserves the right to discontinue the Service entirely (for example, if we cease business operations). If we choose to discontinue the Service, we will give you as much prior notice as reasonably practical along with instructions for obtaining your data. In such case, we may also provide a pro-rata refund for any prepaid period that has not been fulfilled, where required.

13. Governing Law and Dispute Resolution

Governing Law: This Agreement and any dispute or claim (whether contractual or non-contractual) arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of laws principles. If you are an entity based in another country, you understand and agree that the choice of Polish law will not deprive you of any mandatory protections of the law of your country of incorporation to the extent those apply.

Negotiation: In the event of any dispute or claim between you and Zorka Lab, the parties agree to first attempt to resolve the issue informally through good-faith negotiations. You agree to contact us at our support email to discuss any dispute, and we will likewise contact you (using the contact information in your account) to attempt to resolve the matter. Only if we are unable to reach an amicable resolution within 30 days (or another mutually agreed period) may either party proceed to the next steps outlined below.

Binding Arbitration: Except for the specific exceptions noted below, any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Service (including the validity, breach, or termination of this Agreement) that cannot be resolved by good-faith negotiation shall be finally settled by binding arbitration. The arbitration will be administered by an established arbitration institution mutually agreeable to both parties. If the parties cannot agree, then by default disputes shall be referred to arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC). The following provisions will apply to any arbitration:

  • The number of arbitrators shall be one (1), appointed in accordance with the arbitration rules.
  • The seat, or legal place, of arbitration shall be Warsaw, Poland, unless we mutually agree on a different location (we may consider The Hague, Netherlands as an alternative neutral venue if both parties prefer).
  • The arbitration proceedings shall be conducted in English (unless otherwise required by law or agreed).
  • The arbitrator shall have the authority to award any relief that a court of competent jurisdiction could award, including injunctive or declaratory relief and attorneys’ fees, to the extent authorized by law.
  • The arbitrator’s award shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: To the maximum extent permitted by law, the parties agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You further agree that you will not participate in any class action (existing or future) against Zorka Lab arising from or related to the Service or these Terms. If this class action waiver is found to be unenforceable in a particular case, and a claim proceeds on a class or collective basis, then the entirety of this dispute resolution section (except for the governing law provision) shall be null and void for that case.

Exceptions: Notwithstanding the above arbitration agreement, either party may choose to bring an action in court solely for temporary or preliminary injunctive relief to stop unauthorized use or abuse of the Service or infringement of intellectual property (for example, a court action to stop someone from misusing IP or violating security in a way that would cause irreparable harm). Such an action may be brought at any time without first going through arbitration. Additionally, if you fail to pay any fees owed, we may pursue collection through the courts (and you will be responsible for our reasonable costs of collection, including legal fees).

14. Miscellaneous

Entire Agreement: These Terms (together with any referenced documents such as the Privacy Policy and any applicable Data Processing Agreement or SOW for custom services) constitute the entire agreement between you and Zorka Lab regarding the Service, and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter. No oral or written information or advice given by Zorka Lab, its representatives, or any third party will create any warranty or agreement not expressly stated in these Terms. In the event of a conflict between these Terms and any separate written agreement signed by an authorized representative of Zorka Lab (such as a custom Master Service Agreement or SOW), the terms of that separate agreement will prevail to the extent of the conflict.

Changes to Service: We reserve the right to change, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content. We will not be liable for any such change. We also reserve the right to impose limits on certain features or restrict access to parts or all of the Service without notice or liability. We will endeavor to give advance notice of any major changes that significantly affect the Service usage.

No Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce it in the future. No waiver of any term will be effective unless in writing and signed by an authorized representative of Zorka Lab.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The parties will negotiate in good faith a valid, enforceable substitute provision that most nearly affects the parties’ original intent.

Assignment: You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent. Any attempt by you to transfer or assign these Terms without consent will be null and void. Zorka Lab may assign or transfer these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets related to the Service, and you hereby consent to such assignment. Subject to the foregoing, these Terms will bind and benefit the parties and their respective successors and permitted assigns.

Relationship of the Parties: You and Zorka Lab are independent contracting parties. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties. Neither party has the authority to bind or incur obligations on behalf of the other.

No Third-Party Beneficiaries: There are no third-party beneficiaries to these Terms; this Agreement is intended solely for the benefit of you and Zorka Lab and our respective successors and permitted assigns. However, you acknowledge that our affiliates, officers, and employees are entitled to the protections of Sections 9 and 10 (Disclaimer of Warranties and Limitation of Liability) and Section 11 (Indemnification).

Communications and Notices: Zorka Lab may send you service-related communications (e.g., account notices, billing info, security alerts) electronically, such as via email to the address associated with your account or via in-app notifications. You are responsible for providing a current and valid email address and regularly checking it. Legal notices to Zorka Lab should be sent to our registered business address (see Section 15) with a copy via email to our support contact. Notices will be deemed given (a) if by email, when the email is sent (provided no bounce or error notice is received), or (b) if by courier, upon delivery as confirmed by the courier’s records.

Force Majeure: Neither party will be liable for any delay or failure in performance (excluding payment obligations) due to causes beyond its reasonable control, such as acts of God, war, terrorism, civil disturbances, strikes, supply chain disruptions, internet or utility failures, or government action. The affected party shall give prompt notice to the other and make reasonable efforts to mitigate the effect of the force majeure event. If such an event continues for more than 30 days, either party may terminate the affected Service with notice.

Language: These Terms are provided in the English language. If we provide a translation, it is for convenience only, and the English version will prevail in case of any conflict or ambiguity in interpretation.

Headings: Section headings in these Terms are for convenience of reference only and shall not affect the interpretation of any provision.
